This Preliminary Information Form has been prepared in accordance with the provisions of Consumer Protection Law No. 6502 and the Regulation on Distance Contracts, in order to determine the rights and obligations of the USER, who qualifies as a consumer, and Finperion, regarding the provision of financial analysis services purchased electronically via the website www.finperion.com, owned and operated by Finperion. This form also aims to inform Finperion's name, title, clear address, telephone and other access information, basic characteristics of the service, service fee including taxes, payment method, service delivery conditions and costs, as well as all preliminary information and the use of the right of withdrawal and how this right will be used, and official authorities to which they can convey their complaints and objections in a clear, understandable and internet-appropriate manner by Finperion.

The USER accepts and declares that they have been informed about Finperion's name, title, clear address, telephone and other access information, basic characteristics of the service, service fee including taxes, payment method, service delivery conditions and costs, as well as all preliminary information and the use of withdrawal and cancellation rights and how this right will be used, and official authorities to which they can convey their complaints and objections in a clear, understandable and internet-appropriate manner from the www.finperion.com website, and that they have confirmed this preliminary information electronically.

Finperion is a SaaS platform where companies can upload their own financial data in balance sheet, e-ledger and XBRL formats to create automatic financial analyses, financial statements and credit score reports. The platform provides artificial intelligence-supported financial performance analysis services, enabling users to upload balance sheet data for up to three previous years and obtain outputs such as income-expense statements, pivot analysis reports, horizontal-vertical financial analyses, credit scores and credit evaluation reports, and visual analyses through dashboards from the system.

The service type is artificial intelligence-supported financial performance analysis and is provided with the SaaS model. The platform serves in Turkish and English languages through the www.finperion.com address, applying a subscription-based continuous service model using internet-based cloud technology.

4. SERVICE FEATURES AND SCOPE

The Finperion platform basically provides data upload and processing, artificial intelligence-supported analysis, and reporting and visualization services. Within the scope of data upload and processing services, uploading and processing balance sheet tables in Excel format, uploading and analyzing e-ledger data in XBRL format, importing financial data in XML format, processing monthly and annual financial data for the last three years, and analyzing daily financial transaction details are performed.

At the same time, the platform processes customers' 1-year or 3-year balance sheet and e-ledger data using local LLM (Large Language Model) technology, producing comprehensive analysis reports from a professional financial analyst perspective. Within the scope of this service, in-depth analysis of financial data, trend evaluations, ratio analyses, cash flow evaluations, profitability analyses and financial performance evaluations are carried out. The reports produced are supportive of traditional financial advisory services and help customers better understand their financial situations.

Artificial intelligence-supported analysis services include automatic financial performance analysis, real-time risk scoring and evaluation, comprehensive financial scoring based on customizable formulas, trend analysis and future period predictions, and sectoral comparative analysis and benchmarking processes. Thanks to these analyses, users can evaluate their companies' financial situation in detail and make future planning. Reporting and visualization services offer interactive dashboard views, income-expense statement creation, pivot analysis reports, horizontal and vertical financial analyses, financial statement consolidation, detailed financial analysis reports in PDF format, credit score and credit evaluation reports, and visual analysis graphs and charts. Thanks to these reports, users can present their financial data in an understandable and professional format.

The artificial intelligence-supported analysis, reporting and evaluation services provided by the Finperion platform are produced using advanced algorithm and machine learning technologies. These technologies are assistive tools for analyzing and interpreting existing data.

Finperion does not provide any guarantee regarding the accuracy, completeness, timeliness or reliability of analysis results, recommendations, predictions, evaluations and reports produced by artificial intelligence systems. Artificial intelligence outputs are for informational purposes only and do not replace professional financial advisory, accounting, legal or investment advisory services.

USERS are fully responsible for the decisions they make using the results produced by artificial intelligence systems and the consequences of these decisions. Our company cannot be held responsible for any damage, loss or negative consequences that may arise due to decisions made based on artificial intelligence outputs.

Due to the nature of artificial intelligence technology, system outputs may sometimes contain erroneous, incomplete or misleading information. Therefore, it is recommended that expert opinion be obtained and independent verification be made before making important financial decisions. Platform users should evaluate artificial intelligence outputs only as a starting point and support their final decisions with professional advisory services.

The Finperion platform offers four different subscription plans. The Standard Plan is designed for small and medium-sized individual businesses and includes single company account management, basic financial analysis tools, standard report templates, email support, fifty monthly analysis rights, one GB data storage and basic dashboard views.

The Group Company Plan is developed for organizations that manage multiple company accounts under the main company and offers multi-company account management for up to ten companies, consolidated financial reporting, group-based analysis and comparison, advanced dashboard features, priority email and phone support, two hundred monthly analysis rights, five GB data storage and customizable report templates.

The Creditor Plan is specially designed for banks, financial institutions and lending institutions and includes management of multiple USER data, credit risk assessment tools, bulk credit score calculation, sectoral risk analysis, API integration, special credit evaluation algorithms, twenty-four hour seven day technical support, unlimited analysis rights, fifty GB data storage and special reporting modules.

The Advisor Plan is developed for financial advisors, financial consultants and consulting firms and offers USER portfolio management, reporting on behalf of USERs, white label solutions, USER-based access control, consultancy-focused analysis tools, USER reporting automation, priority support line, five hundred monthly analysis rights, twenty GB data storage and customizable brand appearance features.

Minimum system requirements for platform use include active internet connection, current web browser, JavaScript support, minimum 1024x768 screen resolution and PDF viewer software. Platform technical features include cloud-based SaaS architecture, ninety-nine point nine percent uptime guarantee, twenty-four hour seven day platform access, secure data transmission with SSL encryption, automatic data backup, regular system maintenance and mobile-compatible responsive design.

5. REGISTRATION AND APPROVAL PROCESS

The USER can pre-register to the platform through the contact form on the www.finperion.com website. In the pre-registration form, company or personal name and title, contact information such as phone, email and address, company type and field of activity, requested subscription plan and financial analysis needs must be filled out completely. Providing this information completely and accurately is critically important for the evaluation of the application.

Pre-registration applications are evaluated manually through Finperion's admin panel. The evaluation process is based on criteria such as complete filling of the application form, verifiable contact information, active status of the company or person's activity, compatibility of the requested plan with needs, and compliance with service conditions. The evaluation period is at most three business days, and the result is notified by email and phone. The application result can be approved, rejected or additional information requested. In case of rejection of the application, the reason for rejection is notified by email, if there is missing information, the opportunity to complete it is given, a new application can be made after thirty days, and the right of appeal can be used through the info@finperion.com address. This process is important both for maintaining service quality and determining the appropriate USER profile.

The processing time of subscriptions is not the moment the subscription request is made, but the moment the necessary collection is made from the credit and/or bank card account. For the provision of the service subject to the contract, it is required that this preliminary information form be confirmed electronically and the service fee be paid with the payment method preferred by the USER.

For the commencement of the subscription subject to the contract, it is required that this preliminary information form be confirmed electronically and the subscription fee be paid with the payment method preferred by the USER. If the product fee is not paid for any reason or is cancelled in bank records, Finperion is deemed to be relieved of the obligation to deliver the product.

After the delivery of the product, if the credit/bank card belonging to the USER is used unlawfully or illegally by unauthorized persons in a way not caused by the USER's fault, and the relevant bank or financial institution does not pay the subscription fee to Finperion, the product must be sent to Finperion within 3 days, provided that it has been delivered to the USER. In this case, shipping costs belong to the USER.

In case the payment for the subscription subject to the contract is made by the USER with a credit/bank card, various legal risks, including the unlawful and illegal use of the credit/bank card by unauthorized persons, arising from the difference between the USER and the credit card holder or the person to whom the product will be delivered, belong to the USER. The USER accepts and undertakes that they will not make any claim from Finperion if they suffer any damage in the mentioned situations.

6. TRIAL VERSION AND SUBSCRIPTION START

USER whose pre-registration is approved are offered a free trial version for seven days. The trial version includes access to Standard Plan features, maximum five analysis rights, basic report templates, five hundred MB data upload limit, email support and full access to the platform interface. However, the trial version does not have API access, advanced analysis tools are limited, bulk data processing cannot be performed, and customizable reports cannot be used.

At the end of the trial version, the user can continue to receive service by selecting one of the paid subscription plans, can terminate their membership without paying any fee, or can request extending the trial period in specific cases such as technical issues or insufficient evaluation time, subject to approval by Finperion. This flexibility is important for users to fully evaluate the platform and make informed decisions. At the end of the trial version, for transition to paid subscription, the desired plan selection is made, payment information is entered into the system, the contract and preliminary information form are approved, the payment process is completed, and the account is automatically upgraded to the selected plan. This process is completely automatic and facilitates the user experience.

7. SERVICE FEE AND PAYMENT INFORMATION

Subscription fees vary according to plan type, with monthly and annual fees determined for the Standard Plan, monthly and annual fees for the Group Company Plan, monthly and annual fees for the Creditor Plan, and monthly and annual fees for the Advisor Plan. A twenty percent discount is applied to all plans for annual payments. The current price list is continuously published at <a href="/">www.finperion.com</a> and updates are announced through this channel.

All fees are stated including twenty percent VAT, and the VAT rate can be updated according to legislative changes. VAT refund can be applied for corporate USERs and invoicing processes are carried out automatically. In this way, USERs can receive their invoices without dealing with any additional procedures. Accepted payment methods include Visa and MasterCard, Amex, Discover, Troy credit cards, debit cards which are bank cards, wire transfer and EFT, and corporate check options. Corporate check payment is accepted only after approval and for annual payments. Payment security is provided with two hundred fifty-six bit SSL encryption, 3D Secure security protocol and PCI DSS compliant payment system, and card information is never stored.

In monthly subscription payments, automatic collection is made on the same date every month, the first payment is taken at the beginning of the subscription, if payment fails, three days additional time is given, and if payment cannot be collected, the service is suspended. In annual subscription payments, annual payment is made in one go, twenty percent discount is applied, renewal is reminded one month in advance, and there is an automatic renewal option. The trial version is completely free for the first seven days, credit card information is not taken, and manual payment is required after the trial. Price protection is applied for existing subscriptions, new prices are valid only during the renewal period, price changes are announced thirty days in advance, and the right to cancel is granted in case of price increase.

Monthly subscription cancellation can be made at any time, service continues until the end of the current period after cancellation, and no partial refund is made. Annual subscription cancellation is full refund within the first thirty days, partial refund for the number of unused months after thirty days, and the refund process is completed within fourteen business days.

8. RIGHT OF WITHDRAWAL AND EXCEPTIONS

USER who qualify as consumers have the right to withdraw from the contract within fourteen days from the commencement of service performance without showing any reason and without paying any penalty, in accordance with Consumer Protection Law No. 6502. In case the right of withdrawal is carried out, the paid amount is refunded within fourteen days. This right constitutes an important guarantee for the protection of consumer rights. However, according to paragraph (ğ) of the fifteenth article titled "Exceptions to the Right of Withdrawal" of the Distance Contracts Regulation, the right of withdrawal cannot be exercised for "contracts related to services performed instantly in electronic environment or intangible goods delivered instantly to the consumer."

The SaaS services provided by Finperion are considered within the scope of services performed instantly in an electronic environment. These services include instant production of artificial intelligence-supported financial analysis results, real-time risk scoring and evaluation, instant access to interactive dashboard views, instant realization of financial statement consolidation, instant creation of financial analysis reports in PDF format, and instant presentation of sectoral benchmarking results. All of these services are made available for use instantly upon the user's completion of the payment process.

All artificial intelligence-supported analysis, evaluation, prediction and reporting services provided by the Finperion platform are automatically produced using advanced algorithm and machine learning technologies. These technologies are assistive tools for analyzing and interpreting existing financial data and do not provide definitive results or guaranteed predictions.

Finperion does not provide any guarantee regarding the accuracy, completeness, timeliness, reliability or suitability of analysis results, recommendations, predictions, risk scores, financial evaluations and reports produced by artificial intelligence systems. Artificial intelligence outputs are for informational and decision support purposes only and do not replace professional financial advisory, accounting, legal advisory, investment advisory or financial planning services.

USERS are fully responsible for the financial decisions, investment preferences, credit evaluations and business decisions they make using the results produced by artificial intelligence systems. Finperion cannot be held responsible for any financial damage, loss, opportunity loss, reputation damage or other negative consequences that may arise due to decisions made based on artificial intelligence outputs.

Due to the nature of artificial intelligence technology, system outputs may sometimes contain erroneous, incomplete, misleading or outdated information. Algorithm learning processes, data quality and changes in market conditions may affect the accuracy of results. Therefore, it is recommended that expert opinion be obtained, independent verification be made and current market conditions be evaluated before making important financial decisions.

Finperion offers new users a free trial version for seven days. This trial version is provided for users to evaluate the nature and quality of the service. During the trial version, the user can test the basic features of the service, examine the platform interface, perform a limited number of analyses and evaluate the suitability of the service for themselves. At the end of the trial version, the user can continue to receive service by selecting one of the paid subscription plans or can terminate their membership without paying any fee. When the user selects one of the paid subscription plans at the end of the trial version and completes the payment process, the performance of the service starts instantly, the user starts to benefit from financial analysis services through the platform, artificial intelligence algorithms produce customized analyses according to the user's data, and special dashboards and reports are created for the user.

In this case, according to paragraph (ğ) of the fifteenth article of the Distance Contracts Regulation, the right of withdrawal cannot be exercised within the scope of services performed instantly in electronic environment. Before making the payment for paid subscription, the user must clearly approve that the service will be performed instantly in an electronic environment, that they will irrevocably waive their right of withdrawal once the digital service performance begins, as per Article 15/ğ of the Distance Contracts Regulation. This approval is obtained with a separate approval box on the payment page and ensures the USER's conscious decision. The right of withdrawal can be exercised in cases where the service cannot be provided at all due to technical failure, the service is provided incompletely due to Finperion's fault, the service is incompatible with the advertised features, and the user has not yet performed any analysis process. These situations cover cases where the service is not fully performed.

To exercise the right of cancellation, the USERS can notify the cancellation request from the contact addresses specified in the Process Guide section on the website. In cases where the right of withdrawal is valid, the paid amount is refunded within fourteen days from the receipt of the withdrawal notification, the refund is made with the method by which the payment was made, bank procedures are applied for payments made with credit cards, and for payments made by wire transfer or EFT, the refund is made to the account specified by the user.

9. DATA SECURITY AND PERSONAL DATA COMPLIANCE

Finperion takes comprehensive technical and administrative measures to ensure the security of USERS' financial data. Technical security measures include AES-256 standard end-to-end encryption, secure data transmission with SSL and TLS protocol, ISO 27001 compliant secure data storage, access control and authorization system, regular security audits and penetration tests, automatic data backup and recovery plans, and firewall and anti-malware protection. Administrative security measures include personnel security training, keeping data access logs, security policies and procedures, regular security assessments, and data breach response plans. Providing these measures, the highest-level protection of user data is ensured.

Finperion fully complies with the provisions of the Personal Data Protection Law No. 6698. Data processing principles are processing in accordance with law and honesty rules, keeping accurate and up to date when necessary, processing for specific, clear and legitimate purposes, being related, limited and proportionate to the purpose for which they are processed, and keeping them for the period stipulated in the relevant legislation or necessary for the purpose for which they are processed. Data retention periods are determined according to legal legislation. These periods are important both for fulfilling legal obligations and protecting user rights. The rights of data subjects include learning whether personal data is processed, learning the purpose of processing and whether they are used in accordance with their purpose, knowing third parties to whom personal data is transferred domestically or abroad, requesting correction if personal data is processed incompletely or incorrectly, requesting deletion or destruction of personal data under the conditions stipulated in the law, requesting notification of correction, deletion and destruction operations to third parties to whom personal data is transferred, objecting to the emergence of a result against the person through analysis of processed data exclusively through automatic systems, and requesting compensation for damage in case of damage due to unlawful processing of personal data.

10. TECHNICAL SUPPORT AND SERVICE LEVEL

Finperion provides services to its users through various support channels. Phone support is provided from the support line +90 (216) 464 77 47 between Monday-Friday 09:00-18:00 hours, and there is a twenty-four-hour seven day emergency line for Creditor Plan users. Online support is provided in the form of live chat through the website, help center and frequently asked questions, video training materials and user manuals. Thanks to these various channels, users can receive support in the most suitable way for their needs.

Service level commitments vary according to plan type. For the Standard Plan, response time is twenty-four hours, resolution time is seventy-two hours, and uptime guarantee is ninety-nine-point five percent. For the Group Company Plan, response time is twelve hours, resolution time is forty-eight hours, and uptime guarantee is ninety-nine-point seven percent. For the Creditor Plan, response time is two hours, resolution time is twenty-four hours, and uptime guarantee is ninety-nine-point nine percent. For the Advisor Plan, response time is six hours, resolution time is thirty-six hours, and uptime guarantee is ninety-nine-point eight percent. System maintenance and updates are performed regularly.

Planned maintenance includes weekly routine maintenance on Sundays between 02:00-04:00 hours, monthly comprehensive maintenance on the first Sunday of each month between 00:00-06:00 hours, and annual major updates announced in advance. Emergency maintenance includes security updates applied instantly, critical error corrections performed within four hours, and users are informed by email. Training and onboarding services are provided as new user training platform introduction videos, step-by-step user manual, sample data sets and practice, and first week special support. Advanced training is organized as monthly webinar training, special training requests, certification programs and user communities.

11. COMPLAINT AND OBJECTION PROCEDURES

The complaint evaluation process operates as the application received confirmation within twenty-four hours, initial evaluation within three business days, detailed examination within ten business days, and final response within fifteen business days. External complaint and objection procedures include Istanbul Consumer Arbitration Committee authority up to the value announced by the Ministry of Industry and Trade in December each year, application through www.tuketici.gov.tr, Istanbul Anatolian Courthouse Consumer Courts authority at Finperion's place of residence, and court application for disputes above monetary limit. Other application channels are determined as Consumer Information System phone number 175, E-Government Consumer Complaint System, and Provincial District Trade Directorates.

12. COMPETENT COURT AND RESOLUTION OF DISPUTES

The law of the Republic of Turkey is applied in the interpretation and implementation of this contract. In particular, the provisions of the Consumer Protection Law No. 6502, the Regulation on Distance Contracts, the Personal Data Protection Law No. 6698, the Law on the Regulation of Electronic Commerce No. 6563, the Code of Obligations No. 818, and the Turkish Commercial Code No. 6102 are taken as basis.

For consumer transactions, Consumer Arbitration Committees up to the value announced by the Ministry of Industry and Trade in December each year, Istanbul Consumer Courts at Finperion's place of residence, and Consumer Courts at the USER's place of residence are authorized depending on the USER's choice. For commercial transactions, Istanbul Anatolian Courthouse Commercial Courts are authorized. Finperion and the USER accept that Finperion's books, records and documents, as well as computer records, voice records, email records, fax records and other records in magnetic media will constitute definitive evidence within the meaning of Article 193 of the Civil Procedure Law No. 6100 in case of disputes arising from the implementation of this contract.

13. CONTRACT CHANGES AND UPDATES

Finperion reserves the right to make changes to this preliminary information form and service conditions. Changes are announced through www.finperion.com website, registered email addresses, in-platform notifications, and SMS channels for important changes. Announcement periods are determined as thirty days in advance for important changes and price changes, seven days in advance for service improvements, and immediately for legal requirements. The USER can object to the changes made and terminate the contract. The objection period is fifteen days from the announcement date, the right of termination can be used before the change takes effect, and partial refund conditions apply for unused time.

14. EFFECTIVENESS

This preliminary information form will come into effect after being read and accepted by the USER electronically. By confirming the order, the USER accepts, undertakes and declares that they have read all the information specified in the Preliminary Information Form, understood their rights and obligations, accepted the service conditions, been informed about the right of withdrawal, and given the necessary confirmation electronically.
